CODE: CodeLab Capital secures NOK 15 million bridge loan to fund Mdco until completion

Reference is made to CodeLab Capital AS's ("CodeLab" or the "Company")
announcements of 17 September 2026 and 29 September 2026 regarding the
acquisition of Mdco Group ("Mdco") and the binding share purchase agreement (the
"SPA").

CodeLab has entered into a NOK 15 million bridge loan agreement (the "Loan") to
fund Mdco's short-term liquidity needs in the period up to completion of the
transaction. Mdco is approaching the seasonally weakest point of its cash cycle,
and the Loan ensures that Mdco is fully funded until closing.

Securing committed funding at short notice was a critical element in securing
the SPA for Mdco at a time when the transaction faced interest from other
parties and reflects the confidence of the Company's largest stakeholders in the
transaction. The Loan was conditional on (i) a signed SPA with shareholders
representing more than 50% of the shares in Mdco, and (ii) satisfactory terms on
Mdco's existing credit facilities, both of which have been satisfied.

The Loan is provided by an external lender (NOK 10 million) and a holding
company controlled by CodeLab's CEO, Anton Lorenz Bondesen (NOK 5 million). The
Loan is interest-free and has an initial term of four months, extendable by the
lenders. The Company intends to repay the Loan with proceeds from the
contemplated private placement previously announced.

The Loan carries an establishment fee of 15% of the Loan amount, to be settled
in new CodeLab shares at the higher of NOK 8 per share and the 30-day
volume-weighted average share price prior to settlement, corresponding to a
maximum of 281,250 new shares. The fee has no cash effect for the Company and is
priced significantly above the NOK 6 per share settlement price for the
contemplated acquisitions.

The CEO's participation as lender constitutes a related party transaction. The
Board of CodeLab has reviewed and approved the terms of the Loan, including the
CEO's participation.
