Reference is made to CodeLab Capital AS's ("CodeLab" or the "Company")
announcements of 3 September 2026 and 17 September 2026 regarding the
contemplated acquisition of Mdco Group ("Mdco").
CodeLab has entered into a binding share purchase agreement (the "SPA") for the
acquisition of Mdco, having secured signatures from shareholders representing
more than 50% of the shares in Mdco within the agreed exclusivity period. In
accordance with the shareholders' agreement in Mdco, this level of support
brings the transaction's mechanisms for full shareholder participation into
effect, and CodeLab expects to acquire 100% of Mdco upon completion.
Due diligence is nearing completion. The Board of Mdco has approved and
recommends the SPA to its shareholders.
Completion of the transaction remains subject to, among other things,
satisfactory financing, which the Company expects to secure through the
contemplated private placement previously announced.
